1. No Australian Financial Services Licence

Vorburger Strategy Pty Ltd does not hold an Australian Financial Services Licence (AFSL) and is not authorised under the Corporations Act 2001 (Cth) to provide financial product advice, deal in financial products, or provide other financial services that require such a licence.

2. Nature of Our Services

Our services consist of strategy consulting, operational support, transaction and M&A advisory, and ESG & sustainability advisory. Where we provide advice or support in connection with a transaction, financing, or investment, that advice is given in the course of, and is incidental to, our principal business of strategic and operational advisory, in reliance on the exemption available under section 766C(2) of the Corporations Act 2001 (Cth) (or the equivalent exemption applicable in the relevant jurisdiction), and does not constitute financial product advice.

3. Wholesale Clients Only

To the extent that any discussion, material, or introduction provided by us relates to an investment opportunity, capital raising, or financial product, it is directed only at, and intended for, wholesale clients as defined in section 761G of the Corporations Act 2001 (Cth) (or the equivalent classification in the relevant jurisdiction). It is not directed at, and must not be relied upon by, retail clients or members of the public.

4. No Offer, No Recommendation

Nothing on this Site, or in any material we provide, is an offer, invitation, solicitation, or recommendation to acquire, dispose of, or deal in any financial product or security, and no such offer will be made except in compliance with applicable law, including, where relevant, via a compliant disclosure document.

We work with clients and partners across Australia, Europe, the Asia-Pacific region, and the Americas. We do not represent that our services comply with the licensing, registration, or regulatory requirements of any jurisdiction other than Australia. If you are located outside Australia, it is your responsibility to satisfy yourself that engaging us is permitted under the laws applicable to you, and we reserve the right to decline to act where we consider a local regulatory restriction applies.

6. Engagement-Specific Terms Prevail

This notice is general in nature. Where we enter into a specific engagement letter, statement of work, or agreement with a client, the terms of that agreement (including any regulatory disclosures it contains) will prevail over this notice to the extent of any inconsistency.

7. Changes to this Notice

We may update this notice from time to time to reflect changes in our business or in applicable law. The version published on the Site applies, and material changes will be reflected by an updated "Effective date" above.
